We are honored to be invited again by the Hong Kong Chartered Governance Institute (HKCGI) to be one of the guest speakers for the Pre-IPO Seminar held recently at The Yuhuang Shannan Fund Town in Hangzhou. 

Ms. Sandy Fung, Director of IPO Operations of Issuer Services, and Mr. Cliff Huang, Vice President of Business Development of Plan Managers Asia, shared their years of industry insights and best practices on the topic of "Insights on share registry & market practices of employee share plans in Hong Kong".

Ms. Sandy Fung shed lights on share registry related knowledge, by explaining the critical roles and responsibilities as share registrar to assist listing companies before and throughout the listing process; as well as elaborating how to fulfill regulatory requirements by completing specific tasks at different stages, from listing hearing, public offering, to ultimately formal listing. Upon successful listing onto HKEx, share registrar supports issuers’ key ongoing duties, by maintaining up-to-date records of registered shareholders/ members, facilitating effective shareholder communications, in adherence to Hong Kong regulatory rules and compliance requirements.

The overall IPO market dynamic keeps strong and promising in the 1st half of 2025, with tremendous year-on-year growth in market capital raising, which builds a good foundation to welcome more pre-listing companies to come and bake robust pipelines in the HK stock market. To maintain the market momentum, regulatory authorities are keen to continuously enhance listing related procedure and regimes e.g., Hong Kong- Mainland Stock Connect, as well as drive for more innovative initiates to benefit pre-listing companies and issuers. Mr. Cliff Huang introduced the evolution and development of market practices for employee share plans over the past 20 years in Hong Kong. He shared insights into the current Hong Kong market and emerging trends observed in sophisticated Employee Plans data, leveraging his extensive and practical experience in employee share plan management with hundreds of companies listed in the US and Hong Kong across various industries.

He emphasised key considerations for newly listed companies when adopting share plans, including the use of trust schemes, financial reporting, and other collaborative solutions.

Mr. Huang also provided analysis and practical recommendations from a compliance perspective, considering the domestic compliance requirements and changes in HKEX listing rules and regulations.
