围绕持续近两月的安世风波，闻泰科技发布关于安世半导体控制权争议及全球芯片产业链稳定的官方声明。
在声明中闻泰科技郑重敦促安世荷兰：立即停止歪曲事实、误导公众的行为，正视核心问题；回应我方合法诉求，就恢复闻泰科技控制权提出建设性方案；立即开启对话磋商，从根本上化解矛盾，为恢复全球供应链稳定创造条件。
安世中国的声明紧随其后，声明中进一步指出，荷方不仅未正视自身责任，反而在争议期间加速推进海外扩产计划，试图以马来西亚等地产能替代中国工厂，此举严重违背全球半导体产业长期形成的分工协作原则，损害安世半导体整体利益。
安世中国明确提出三项关键要求：即刻停止在马来西亚等海外地区的产能扩张，放弃“去中国化”意图；立即恢复向安世中国供应生产必需的晶圆，并支付拖欠款项，保障2000余名员工正常就业与企业运营；撤销对供应商的强制禁令，终止要求第三方停止向安世中国供货的压迫行为，恢复产业链正常协作。
据悉，安世半导体约80%的芯片产品依赖中国东莞工厂完成封装测试，而自今年9月荷兰政府以“国家安全”为由冻结中方控制权以来，晶圆断供已导致多家欧洲车企面临缺芯停产风险，全球汽车供应链持续承压。
闻泰科技关于安世半导体控制权争议及全球芯片产业链稳定的官方声明：
我方注意到安世荷兰于11月27日致安世中国领导层的公开信，该信中存在大量混淆视听的不实指控和虚假信息，并进一步反映了安世荷兰推卸责任、回避问题，缺乏妥善解决此次事件的诚意。
在当前全球芯片产业链面临动荡与风险的局面下，作为安世半导体的唯一合法股东，同时也是深耕半导体产业、始终致力于维护全球产业链稳定的企业，闻泰科技郑重发布声明如下：
一、闻泰科技对安世半导体的控制权及股东权益遭到非法剥夺，系导致全球半导体供应链混乱和动荡的根源
正如中国商务部明确指出，此次全球半导体供应链混乱的源头和责任在荷兰方面。正是在荷兰经济部不当干预下，安世荷兰通过向企业法庭发起不当诉讼程序，非法剥夺了闻泰科技作为安世半导体股东的控制权和合法股东权益，导致了今天的全球供应链混乱。
事实上，自控制权争议发生以来，本着负责任的态度和维护全球客户利益的原则，在中国相关政府部门的大力推动下，我方已主动表达善意，并明确表示愿意就恢复合法控制权进行建设性沟通。安世荷兰在公开信中所称“主动联系但未得到实质回应”完全不符事实。
二、闻泰科技与安世半导体的控制权争议是关乎全球半导体供应链稳定的重大议题
安世半导体是全球产业链中的关键节点，从新能源汽车动力控制系统、工业自动化核心部件到消费电子电源管理模块，其产品已深度融入全球供应体系，成为众多国际大厂的重要供应保障。
若控制权争议持续，大量客户将面临供应链断裂风险，汽车制造、工业设备、消费电子等多领域的生产稳定性将受到严重冲击，交付周期、成本控制与竞争力均可能大幅下滑。
因此，此事远非一般企业纠纷，而是关系全球数十万客户、数十国供应链安全的重大事件。闻泰科技持续寻求沟通，不仅为自身合法权益，更是为避免人为制造更多供应链风险、维护全球产业协同发展。
三、恢复闻泰科技的合法控制权，保障股东合法权益，是解决当前全球芯片供应链困境的关键
闻泰科技并未寻求任何额外利益，唯一诉求是恢复本属于我方的合法控制权与完整股东权益。
中国政府部门也明确表示，剥夺闻泰控制权的裁决是阻碍解决问题的核心，希望荷方展现合作诚意并提出建设性方案。推动问题解决的关键在于安世荷兰，应立即就恢复闻泰合法控制权展开沟通。
四、安世荷兰始终回避核心问题，缺乏沟通诚意
尽管我方多次主动寻求沟通，安世荷兰始终未回应我方核心诉求，也未提出协商条件，反而回避根本矛盾。
结合近期荷兰政府及安世荷兰的相关动作，我方认为其真实目的在于为安世荷兰打造“去中国化”供应链争取时间，并彻底剥夺闻泰科技的股东权益。这将使全球供应链面临重大风险，把少数人的利益置于全球众多客户和产业安全之上。
五、敦促安世荷兰正视问题，共同守护全球产业链稳定
为妥善解决控制权争议、维护全球供应链稳定、保障产业上下游参与者合法权益，闻泰科技郑重敦促安世荷兰：
1. 立即停止歪曲事实、误导公众的行为，正视核心问题。
2. 回应我方合法诉求，就恢复闻泰科技控制权提出建设性方案。
3. 立即开启对话磋商，从根本上化解矛盾，为恢复全球供应链稳定创造条件。

Wingtech’s Official Statement on the Dispute over the Control of Nexperia and the Stability of the Global Semiconductor Supply Chain
We have taken note of the open letter dated November 27 sent by Nexperia B.V. to the leadership of Nexperia’s entities in China. The letter contains numerous misleading and untrue allegations, as well as false information, further reflecting Nexperia B.V.’s attempts to evade responsibility, divert attention from the real issues, and its lack of sincerity in resolving the matter.
As the sole lawful shareholder of Nexperia and a company deeply rooted in the semiconductor industry and committed to maintaining global supply chain stability at a time of heightened industry turbulence, Wingtech hereby issues the following statement:
A. The unlawful deprivation of Wingtech’s control and shareholder rights over Nexperia is the root cause of the current disruption in the global semiconductor supply chain
As clearly stated by China’s Ministry of Commerce, the origin and responsibility for the current instability lie with the Dutch side. It was the improper intervention by the Dutch Ministry of Economic Affairs, combined with Nexperia B.V.’s inappropriate legal actions before the Enterprise Chamber, that unlawfully stripped Wingtech of its control and shareholder rights.
Since the beginning of the dispute, Wingtech has demonstrated goodwill and expressed a clear willingness to engage in constructive communication on restoring lawful control. Nexperia B.V.’s claim that it “received no substantive response” does not correspond to the facts.
B. The control dispute is a major issue affecting global semiconductor supply chain stability
Nexperia plays a critical role in global semiconductor supply chains. Its products—used in new-energy vehicle power systems, industrial automation components, and consumer electronics power modules—are deeply embedded in key sectors worldwide.
If unresolved, the dispute may cause supply chain disruptions, force automakers to adjust production schedules, destabilize industrial manufacturing, and significantly impact delivery timelines, cost management, and competitiveness. This issue affects hundreds of thousands of customers across dozens of countries.
Wingtech has sought communication not only to protect its lawful rights but also to prevent additional risks to global industrial stability.
C. Restoring Wingtech’s lawful control is essential for resolving the current crisis
Wingtech is not seeking new or additional benefits. Our sole demand is the restoration of our lawful control and shareholder rights.
The Chinese government has clearly stated that the ruling stripping Wingtech of control is the key obstacle to resolution and has urged the Dutch side to present constructive proposals. The next step lies with Nexperia B.V., which must immediately engage in dialogue with Wingtech.
D. Nexperia B.V. continues to evade core issues and lacks sincerity
Despite multiple attempts by Wingtech to seek dialogue, Nexperia B.V. has failed to respond to legitimate demands or propose any negotiation framework. Instead, it has avoided addressing fundamental contradictions.
Recent actions by the Dutch government and Nexperia B.V. suggest an attempt to build a “de-China-ized” supply chain and permanently deprive Wingtech of its shareholder rights—an approach that prioritizes the interests of a few over global supply chain security.
E. Wingtech urges Nexperia B.V. to address the issues seriously and help safeguard supply chain stability
To resolve the dispute, ensure stable global semiconductor supply chains, and protect the rights of all stakeholders, Wingtech solemnly urges Nexperia B.V. to:
1. Immediately cease distorting facts and face the core issues without evasion.
2. Present constructive proposals on restoring Wingtech’s lawful control and protecting shareholder rights.
3. Commence dedicated consultations with Wingtech to address the root issues and restore supply chain stability.
Wingtech believes that the healthy development of the global semiconductor industry relies on international cooperation, respect for market rules, and firm protection of legitimate corporate rights. We expect Nexperia B.V. to act responsibly and, together with Wingtech, work toward resolving the dispute and safeguarding the stability and prosperity of the global semiconductor supply chain.
