Exemptions
Individually-owned businesses registered under law.
Companies where all the following conditions are met:
Capital ≤ RMB 10 million
All shareholders/partners are natural persons
No other person controls or benefits from the company
受益人定义
最终拥有或控制公司的自然人：
持股 >25%：直接或间接持股、出资或表决权
最终控制：如无人满足持股条件，由实际控制公司的人登记
高管替代：如仍无人，则由负责日常管理的个人登记
截止日期：2025 年 11 月 1 日
新公司（2024 年 11 月 1 日后成立）：成立时登记
现有公司（2024 年 11 月 1 日前成立）：2025 年 11 月 1 日前完成登记
Defining the Beneficial Owner
A natural person who ultimately owns or controls the company:
Ownership >25%: Direct or indirect equity, capital, or voting rights
Ultimate control: If no one meets the threshold, those exercising effective control (e.g., veto or executive rights)
Senior manager fallback: If none, the individual managing daily operations
Deadline: 1 November 2025
New companies (after 1 Nov 2024): Register at incorporation
Existing companies (before 1 Nov 2024): Register by 1 Nov 2025
