拓普集团拟为墨西哥子公司提供5亿元担保，助力北美市场拓展
2026 年 10 月 16 日，宁波拓普集团股份有限公司（601689.SH）发布《关于为子公司提供担保的进展公告》（公告编号 2026-061），宣布拟为子公司拓普集团墨西哥有限公司向招商银行股份有限公司宁波分行申请的授信提供连带责任保证，最高额度为人民币 5 亿元，授信期间 36 个月。同日，公司第六届董事会第一次会议以 9 票同意、0 票反对、0 票弃权审议通过《关于为境外子公司提供担保的议案》。
Tuopu Group Plans RMB 500 Million Guarantee for Mexican Subsidiary to Support North American Expansion
On October 16, 2026, Ningbo Tuopu Group Co., Ltd. (601689.SH) announced (announcement No. 2026-061) that it plans to provide a joint and several liability guarantee for the credit facility applied for by its Mexican subsidiary, Tuopu Group Mexico, from China Merchants Bank Co., Ltd. Ningbo Branch. The facility carries a maximum amount of RMB 500 million over a 36-month period. On the same day, the company's first meeting of the sixth board of directors approved the proposal on providing guarantee for the overseas subsidiary with 9 votes in favor, 0 against and 0 abstentions.
公告披露，被担保人拓普集团墨西哥有限公司注册于 2022 年 10 月 3 日，工厂地址为墨西哥新莱昂州，注册资本 24,559.79 万墨西哥比索(约 1,334 万美元)，经营范围为汽车零部件的研发、生产与销售，模具制造与销售，设备制造与销售，以及设备、原材料、产品、技术与服务的进出口。股权结构为：拓普集团持股 99%，其全资子公司宁波拓普机电进出口有限公司持股 1%。
According to the announcement, Tuopu Group Mexico was registered on October 3, 2022, with its plant located in the state of Nuevo León, Mexico, and registered capital of 245.5979 million Mexican pesos(about US$13.34 million). Its business scope covers the research, development, production and sale of automotive parts, the manufacture and sale of molds and equipment, and the import and export of equipment, raw materials, products, technology and services. Tuopu Group holds 99% of the subsidiary, while its wholly owned subsidiary Ningbo Tuopu Electromechanical Import and Export Co., Ltd. holds the remaining 1%.
财务数据方面，截至 2026 年 9 月 30 日，拓普墨西哥资产总额 34.06 亿元、净资产 12.77 亿元；2026 年 1 至 9 月实现营业收入 14.11 亿元、净利润 1,485.20 万元，2025 年全年为净亏损 2,919.07 万元。公告说明，该工厂目前处于产能爬坡阶段，正持续拓展北美客户，本次担保旨在满足其日常经营及扩产阶段的流动资金需求。
Financially, as of September 30, 2026, Tuopu Group Mexico reported total assets of RMB 3.406 billion and net assets of RMB 1.277 billion. For the first nine months of 2026 it recorded operating revenue of RMB 1.411 billion and net profit of RMB 14.852 million, compared with a full-year net loss of RMB 29.191 million in 2025. The announcement states that the plant is currently in a capacity ramp-up phase and is continuously expanding its North American customer base, and that the guarantee is intended to meet working capital needs for daily operations and the expansion stage.
公告同时披露，截至公告日，公司及控股子公司对外担保总额为人民币 106,433.32 万元，占公司最近一期（截至 2026 年 6 月 30 日）未经审计净资产的 4.39%，公司无逾期担保。公告称，本次担保事项在公司 2026 年第三次临时股东会批准的担保额度内，无需再提交股东会审议。
The announcement also discloses that, as of its date, the total amount of guarantees provided by the company and its controlled subsidiaries stood at RMB 1.0643332 billion, equivalent to 4.39% of the company's most recent unaudited net assets as of June 30, 2026, with no overdue guarantees. It notes that the guarantee falls within the quota approved at the company's third extraordinary shareholders' meeting of 2026 and therefore does not require further shareholder approval.
