👉公司控制的界定标准有许多，包括会计准则意义上的，还有法律意义上的。前者用于确定会计报表合并主体范围；后者关注公司各项议程的提案、表决权，以及控制者拥有的股份是否有股息分配、清算剩余索取方面的限制或特别权利；
👉公司控制的关联概念包括母公司、子公司和集团公司。
👉今次，我们尝试使用BVI公司法上的控制概念去构建“公司控制权”的立体思维：
阿里巴巴合伙人架构的设计的创意始于域外公司法立法（从特拉华州到离岸税收天堂）中控制权的多维定义，从实质到表象渐次为：1.公司运营管理权→2.董事会任免权（因域外长久以来董事会即是公司运营决策中心）→3.占多数股东投票表决权（因股东会可特别地通过决议修改章程、更改董事会成员任免规则、更改董事会与股东会权责利分配）→4.占多数股权（因公司目的即为营利，利润分配与决策权分配势必就具有统一的倾向）；
从集团公司定义之(d) a parent of a subsidiary of the first company; or (e) is a parent of a parent of the first company. 【一家公司同时存在多家母公司】，我们可以反推出上述多维的控制权定义可以并行不悖。
👉BVI公司条例(S240)第2(1)条 - 参考法条及评注：
👉"parent”, in relation to a company (the “first company”), means another company that, whether acting alone or under an agreement with one or more other persons—
(a) holds, whether legally or equitably, a majority of the issued shares of the first company; 【占已发行股份的多数】
(b) has the power, directly or indirectly, to exercise, or control the exercise of, a majority of the voting rights in the first company;【占股东投票权的多数】
(c) has the right to appoint or remove the majority of the directors of the first company; 【占任免董事会成员决策权的多数】
(d) has the right to exercise a dominant influence over the management and control of the first company pursuant to a provision in the constitutional documents of the first company; or 【可根据公司章程主导公司运营权】
(e) is a parent of a parent of the first company;【母公司之母公司】
👉A “subsidiary”, in relation to the first company means a company of which the first company is a parent.
👉The term “group”, in relation to a company (the “first company”), means the first company and any other company that is
(a) a parent of the first company;
(b) a subsidiary of the first company;
(c) a subsidiary of a parent of the first company; or
(d) a parent of a subsidiary of the first company; or (e) is a parent of a parent of the first company. 【一家公司同时存在多家母公司】
