近日，上海兰迪（深圳）律师事务所周誓超律师与赵雅芳律师，为一家国际货运代理企业提供业务风险排查、文件升级与专项培训服务。

接受委托后，律师团队先开具材料清单，随后对客户负责人及相关业务人员开展访谈，在此基础上全面审查客户的业务与运营模式，梳理出业务层面的主要风险，并出具整改建议备忘录。

律师团队还逐份审查、修订客户日常使用的业务文件，重点改写责任限额、转委托授权、费用账期、留置权行使条件这些货代企业容易吃亏的条款，升级为一套与实际业务匹配的文件模板。

培训分员工和管理层两个层面、多场进行。面向全体员工的培训，围绕从初次接触到费用结算的业务流程，讲解尽调方法、合同关键条款识别、签约与台账管理、日常操作留证等要点。培训后安排考核，律师准备了多份藏有明显风险的协议，检验员工培训后能否识别重大风险。

面向老板和高管的培训分业务和管理两条线：业务上讲货代与承运人的身份识别与责任差异，双清、拼柜、拖车业务的风险点，弃货、无单放货等目的港特殊情况的应对，以及保险配置；管理上讲股权与注册资本、劳动用工、买单出口、海外代理选择、发票合规，以及职务侵占等刑事风险。培训后再给客户进行集中答疑。

目前，文件升级已交付使用，培训与答疑已全部完成，团队继续为该客户提供日常法律咨询。

Recently, Larry Zhou and Avon Zhao, attorneys of Landing (Shenzhen) Law Office, provided business risk assessment, document upgrading, and specialized training services to an international freight forwarding company.

Following engagement, the team first issued a document request list and then interviewed the client's management and relevant business personnel. On that basis, the team conducted a comprehensive review of the client's business and operating model, identified the principal risks at the business level, and issued a memorandum of remediation recommendations.

The team also reviewed and revised, one by one, the business documents the client used daily, focusing on rewriting the provisions where freight forwarders tend to lose out—liability limitation, sub-authorization, freight and payment terms, and conditions for exercising liens—and upgraded them into a full set of templates matching the client's actual operations.

The training was delivered in multiple sessions at two levels: one for employees and one for management. The training for all employees followed the business process from first contact to expense settlement, covering due diligence methods, identification of key contract terms, execution and ledger management, and evidence retention in daily operations. A post-training assessment followed: the attorneys prepared several agreements with obvious embedded risks to test whether employees could identify major risks after the training.

The training for owners and senior management covered two threads. On the business side: distinguishing freight forwarder from carrier and the liability differences between the two, the risk points of door-to-door double-clearance services, LCL consolidation, and trucking, responses to destination port contingencies such as cargo abandonment and delivery without presentation of the original bill of lading, and insurance configuration. On the management side: shareholding structure and registered capital, employment, export under purchased customs declarations, selection of overseas agents, invoice compliance, and criminal risks such as embezzlement and misappropriation of funds. After the training, the attorneys also held a dedicated Q&A session with the client.

The upgraded documents have been delivered and put into use, and the training and Q&A sessions have all been completed. The team continues to provide day-to-day legal advice to the client.

Freight forwarding involves long business chains and heavy documentation, and most disputes arise from details in daily operations.
