Freshfields has advised two recent listings on Hong Kong Stock Exchange
富而德律师事务所（“富而德”）近期就上海复宏汉霖生物技术股份有限公司（“复宏汉霖”）及滔搏国际控股有限公司（“滔搏国际”）的香港联交所上市项目提供法律服务。
Freshfields Bruckhaus Deringer (‘Freshfields’) has recently advised on the listings of shares of Shanghai Henlius Biotech, Inc. (‘Henlius’) and Topsports International Holdings Limited (‘Topsports’) on the Hong Kong Stock Exchange (‘HKSE’).
复宏汉霖的上市涉及从香港上市的复星国际和A股、H股上市的复星医药的分拆上市。复宏汉霖的上市集资额约为4亿美元，相关股份已于2019年9月25日开始发售。复宏汉霖是一家中国领先的生物制药公司，旨在为全球患者提供质高价优的创新药物。复宏汉霖是中国首家就单克隆抗体生物类似药取得新药药证申请批准的，同时也是中国首家商业化地推出单克隆抗体生物类似药的生物制药公司。
The listing of Henlius involved a spin-off listing from both HKSE-listed Fosun International and A and H share listed Shanghai Fosun Pharmaceutical. Trading in the shares commenced on 25 September 2019 and total proceeds raised were US$400m. Henlius is a leading biopharmaceutical company in China with the vision to offer high-quality, affordable and innovative drugs for patients worldwide. It is the first biopharmaceutical company to receive New Drug Application approval for a monoclonal antibody biosimilar in the PRC and the first company to commercially launch a monoclonal antibody biosimilar in the PRC.
滔搏国际的相关股份于今日（2019年10月10日）开始发售。该上市项目集资额约为10亿美元。滔搏国际在中国经营以消费者为核心的运动零售及服务平台。滔搏国际以全国性零售网络方式经营，拥有超过8300家直营门店。就估计零售等效销售总额而言，滔搏国际2018年于中国运动鞋服零售市场的市场份额为15.9%，是中国最大的运动鞋服零售商。滔搏国际一直以来是许多主要国际品牌在中国市场的战略合作伙伴，目前是阿迪达斯在全球最大的零售合作伙伴及客户、耐克在全球第二大的零售合作伙伴及客户。
Trading of the the shares of Topsports commenced today (10 October 2019). The listing raised proceeds of approximately US$1bn. Topsports operates a consumer-centric sportswear retail and service platform in China and operates a nationwide retail network of over 8,300 directly-operated stores. It is China’s largest sportswear retailer in terms of estimated total retail-equivalent sales value with a 15.9 per cent of market share in China’s sportswear retail market in 2018. It has been the strategic partner for major international sportswear brands in the China market for many years and it is currently the largest and second largest global retail partner and customer of adidas and Nike, respectively.
