若公司因成立后无正当理由超过六个月未开业或者开业后自行停业连续六个月以上，且未办理注销手续，就会被吊销营业执照，强制将其注销。

If a company fails to start business for more than six months after its establishment without justifiable reasons, or if it has closed its business for more than six consecutive months after starting, and fails to go through the cancellation procedures, its business license will be revoked, and it will be forced to be cancelled.

公司被强制注销之后，会严重影响到其法人代表以及股东的生活，如会被限制高消费、不能乘坐飞机和高铁等、无法领取养老金、任职受限、列入税务黑名单、无法贷款、无法移民等，甚至其子女上学也会收到一定影响。

A forcibly cancelled company will severely affect the life of its legal representative and shareholders, such as being restricted from high consumption, not being able to take airplanes and high-speed rail, not being able to receive pensions, being restricted in office, being included in the tax blacklist, being unable to take out loans, not being able to immigrate, etc., and even their children going to school will be affected to a certain extent.

那么，如何注销一家公司呢？

So, how to cancel a company?

以广州公司为例，注销有两种方式，分别是简易注销和一般注销。

Taking company in Guangzhou as an example, there are two ways for cancellation, namely simplified cancellation and general cancellation.

简易注销

Simplified Cancellation

简易注销简化了企业注销的程序以及申请材料，很大程度上节省了申请人以及办理机关的人力物力。

Simplified cancellation simplifies the procedures and application materials for enterprise deregistration, which greatly saves the manpower and material resources of applicants and handling agencies.

但并非所有企业都适用于简易注销，而是仅限于“未开业”和“无债权债务”的有限责任公司、非公司企业法人（不适用中外合资企业）、个人独资企业、合伙企业这四种类型。其中，“未开业”是指领取营业执照后未开展经营活动的；“无债权债务”是申请注销登记前未发生债权债务或已将债权债务清算完结的。

However, not all enterprises are suitable for simplified cancellation, which is limited to the four types of companies: limited liability companies, non-corporate legal persons(Not applicable to Sino-foreign joint ventures), sole proprietorships, and partnerships that are “unopened” and "without creditor's rights and debts". Among them, “unopened” refers to those who have not carried out business activities after obtaining the business license, and "no creditor's rights and debts" refers to those who have not incurred creditor's rights and debts or have completed the liquidation of creditor's rights and debts before applying for cancellation.

流程 Processdures

在公示系统填报注销信息；

Fill in the cancellation information in the publicity system.

发布简易注销公告（公告期为20天），若无人提出异议即可进入下一步；

Publish an announcement of simplified cancellation (valid for 20 days).

20天公告期内完成税务注销；

Log out the registration of tax within the 20-day announcement period.

申请简易注销登记；

Apply for simplified cancellation.

领取注销回执。

Get the receipt of cancellation.

Attention！！！

每个企业只能有一次申请简易注销的机会，所以在操作时要小心谨慎，避免出错，否则只能转为一般注销。

Each company can only have one chance to apply for simplified cancellation, so don’t make mistakes when applying, otherwise it can only undergo general cancellation.

若公告期内他人有异议，简易注销会转为一般注销。

If objections occur during the announcement period, the simplified cancellation will be converted to general cancellation.

一般注销

General Cancellation

如果公司不符合简易注销的条件，或者浪费了唯一一次简易注销的机会，那么公司就只能走一般注销的程序了。相较于简易注销，一般注销就繁琐多了。

If the company does not meet the requirements of simplified cancellation, or wastes the only chance, then the company can only go through the general deregistration procedure, compared with simple cancellation, which is much more cumbersome.

流程 Procedures

成立清算小组，对公司财产进行清算；

Set up a liquidation team to liquidate the company's property.

登报发布清算组备案和债权人公告（公告期为45天）；

Publish the liquidation team's filing and announcement to creditor on newspaper (valid for 45 days).

完成税务（国税、地税）注销和社保注销；

log out registration of taxes (national tax, local tax) and social insurance.

商务注销；

Cancel business registration.

海关注销；

Cancel registration of customs declaration.

45天公告期满后申请一般注销登记;

Apply for general cancellation of registration after the 45-day announcement period expires.

领取注销回执。

Get the receipt of cancellation.

不管是简易注销还是一般注销，只要公司不想经营或者已经停止运营的，一定要及时注销，千万不要因为怕麻烦就选择不注销，毕竟不注销影响的还是自身。

If you don't want to operate the company any more or have already stopped its operations, be sure to cancel it in time. After all, not logging out affects yourself.
