香港是中国的，那我在香港注册的公司是不是也可以在中国内地直接经营呢？Hong Kong belongs to China, so can my company registered in Hong Kong also operate directly in the mainland of China? Just like the domestic companies? 答案当然是不可以的！！！The answer is NO!!! 因为中国实行“一国两制”，香港也就成为了相较于中国内地的第三地区，奉行与内地不同的管理体制以及法律法规。 China adopts "one country, two systems" in Hong Kong and Macau, so these areas are regarded as “the third regions” from mainland, with a different management system and law system. 香港公司属于境外公司，不适用于内地法律，不具备国内法定代表人的资格，且与内地公司分属于不同的工商及税务部门。A Hong Kong company is considered as an overseas company, which is not applicable to mainland laws, and belongs to different industry and commerce bureaus and taxation departments than a mainland company. It is not qualified as a domestic legal representative. 香港公司注册地是在香港，受到香港公司条例约束，而不受大陆公司条例管制，如果在内地挂牌经营或者是租用了写字楼办公都会被认定为非法经营，工商局有权查封。Hong Kong companies registered in Hong Kong are bound by the Hong Kong Companies Regulations, but not subject to the mainland’s. Any operations in mainland, such as listing and renting an office, will be defined as illegal operations, leading to punishments. 所以，香港公司在注册完成之后是不能够直接在内地经营的。Therefore, a Hong Kong company cannot be directly operated in the mainland of China. 不能“直接”经营，其实就说明并非毫无办法，只是要稍下点功夫。Not being able to be operated "directly"? There isn’t no way out, just a little bit more of effort. 一般来说，香港公司在内地经营，可以通过以下三种方式。Generally speaking, Hong Kong companies can be operated legally in the mainland in the following three ways. 第一、以香港公司名义在内地成立外商独资企业/中外合资企业。First, establish a wholly foreign-owned enterprise/sino-foreign joint venture in the mainland in the name of a Hong Kong company. 不过，所成立外资公司的股东必须是香港人或外国人，否则无法申请成功。有的城市还会要求进行外商投资的香港公司需要成立2年以上。It is noted that the shareholders of the foreign-funded company must be Hong Kong residents or foreigners, otherwise the application will not be accepted. Some cities might require the Hong Kong company to be established for more than 2 years. 第二、对内地公司做品牌授权，即以香港公司名义与内地公司签署授权协议。香港公司授权内地公司生产、销售、代理其品牌产品，实现在中国内地合法化生产、销售。Second, authorize brands to a mainland company, that is, to sign agreements in the name of the Hong Kong company, authorizing mainland companies to produce, sell and act as agents for its branded products. It is the most convenient and time-saving way to achieve legalized production and sales of Hong Kong products in the mainland. 第三、成立内地的代表处/办事处。适用于香港公司在内地经营时只限于联络客户或者供应商的情况下。办事处仅作为业务联系作用，而不单独与客户形成直接的购销关系，后续也不用单独进行税务登记。Third, Set up a representative office in the mainland.It is applicable when you just want to contact customers or suppliers in the mainland and have no direct purchase and sales relationship with customers.
