导读：如何注销香港公司？

最近有位朋友突然收到香港法院的传票，这可把他吓坏了，怎还犯了香港的法了呢？原来是他的香港公司已经长期没有年审，要被强制注销了。
Last week, a friend of mine received a summons from the Hong Kong court, which made him confused and nervous. It turned out that his Hong Kong company has not undergone annual review for a long time and will be forcibly cancelled.

“我那家香港公司只是注册了，也没有进行过什么业务啊，为什么还要每年花一大笔钱去年审呢？多不划算！”
"My HK company has not conducted any business since registration. Why should I spend a large sum of money every year on review? Not a good deal.”

大错特错！！！ No！！！


在香港，公司注册满一年之后必须进行公司年审并更换最新的商业登记证，如果逾期不办理将会产生罚款。一直不予理会的话，法院会发出传票强制注销香港公司，同时还要补交罚款，香港公司的董事也会被香港政府列入黑名单，影响他们以后在香港甚至是在内地的发展。
In Hong Kong, a company must undergo an annual review and obtain its business registration certificate after one year of registration, otherwise a fine will be imposed. If you still ignore it, the HK court will issue a summons to force the cancellation of the company and demand to pay the fines. Directors of the company will be blacklisted by the Hong Kong government, which seriously affects their future development in Hong Kong or even in the mainland.

所以，如果香港公司不想要了或者不想承担维护费用，最好走正常流程进行注销。
Therefore, if you no longer need the company or do not want to bear the maintenance costs, it is better to go through the normal process for cancellation.

香港公司要如何注销呢？
So, how to deregister a Hong Kong company?

一般有两种方式，一是被动注销，二是主动注销。
Generally, there are two ways, one is forced cancellation, and the other is active cancellation.

被动注销其实就是强制注销，指的是香港公司注册满一年之后，超过规定时间没有年审，收到香港法院传票也不出庭申辩，如此2到3年之后，香港注册处就会强制注销该公司，即公司被除名。
Forced cancellation means that after one-year registration of a HK company, there is no annual review in the specified time for 3-5 years, and no respond after receiving a subpoena from the court, then the Companies Registry will force the company to be deregistered.

香港公司被强制注销后，其名下的银行账户也会被冻结，公司法人和股东会被列入香港黑名单，以后在办理香港公司注册、银行开户、入境等都有一定影响。
After a Hong Kong company is forcibly deregistered, the bank accounts under its name will also be frozen. Its legal person and shareholders will be blacklisted, growing barriers on company registration, bank account opening, and immigration in the future.

所以要再次提醒大家，公司无法经营的情况下，务必及时主动注销。

注销香港公司需要满足什么条件？
What kind of HK company can be deregistered actively?

1️⃣ 未拖欠政府债务及罚款，包括年审费用、税款等；
No default on government debts and fines, including annual review fees, taxes, etc.
2️⃣ 无债务违约；
No debt default.
3️⃣ 本公司所有成员均同意撤销注册；
All members of the company agree to cancel the registration.
4️⃣ 在提交申请前3个月内，公司仍未经营业务，或还未开展业务；
Within 3 months before submitting the application, the company has not operated business, or has not started business.
5️⃣ 已取得税务局局长同意撤销注册的书面通知。
A written notice has been obtained from the Commissioner of Inland Revenue agreeing to cancel the registration.

注意 Attention
最好在公司年审到期日提前至少三个月提出注销申请，否则可能需缴纳多一年的年审和报税费用。
Note that it is better to file a cancellation application at least three months in advance of the company's annual review due date, otherwise an additional year of annual review and tax filing fees may be required.

主动注销的流程 
Process of active cancellation

申请人向税务局申请《要求不反对撤销注册通知书》并缴纳相关费用，但公司必须清缴所有欠税及商业登记费才能收到这份通知书。

The applicant applies to the Inland Revenue Department for a "Notice of No Objection to A Company Being Deregistered" and pays the relevant fees. Note that this notice is not available to any companies haven’t paid all outstanding taxes and business registration fees.

税务局长出具《确认发出不反对撤销通知书》。

The Commissioner of IRD issues the " Confirmation on Notice of No Objection to A Company Being Deregistered ".

申请人向公司注册处提交《撤销注册申请书》及其他所需材料，并缴纳相关费用。

The applicant submits the "Application for Deregistration" and other required documents to the Companies Registry and pay the relevant fees.

公司注册处登宪报(如没有收到书面反对)，香港公司正式注销。

The Companies Registry will punish the degisteration in the gazette (if no written objection is received). Then the HK company is officially deregistered.
注意 Attention
注销的时间 6-8个月左右，如遇到未缴清税款、未处理的税表、未缴纳的年审费用等，需全部处理妥善后才可继续注销程序，耗费时间也会相应延长。
The cancellation generally costs about 6-8 months. But if there are unpaid taxes, unprocessed tax forms, unpaid annual review fees, etc., you need to finish them properly before continuing the cancellation procedure, and the time-consuming will be extended accordingly. .
