In order to ensure the smooth implementation of the law, the state has set up a five-year transitional period for foreign-invested enterprises previously established in accordance with the Law of the People's Republic of China on Sino-Foreign Joint Ventures, the Law of the People's Republic of China on Foreign-Funded Enterprises and the Law of the People's Republic of China on Sino-Foreign Cooperative Ventures.
By December 31, 2024, related enterprise needs to be adjusted by laworganizational form, organizational structure, etc. And handle the corresponding change registration.
Before January 1, 2020, foreign-invested enterprises without the status of legal person established in accordance with the Implementation Rules of the Law of the People's Republic of China on Chinese-Foreign Cooperative Ventures or the Implementation Rules of the Law of the People's Republic of China on Foreign-Funded Enterprises shall apply for restructuring into partnership enterprises and meet the conditions for establishment stipulated in the Partnership Law of the People's Republic of China and other laws and regulations. Apply to the registration authority for change registration and submit relevant materials according to law. After the affiliated enterprise changes its organizational form, the branch shall apply for registration of the change in a timely manner.
Foreign-invested companies established before January 1, 2020, within five years after the implementation of the Foreign Investment Law of the People's Republic of China to adjust the supreme authority, legal representative or director selection method, voting mechanism and other matters inconsistent with the mandatory provisions of the Company Law of the People's Republic of China, shall amend the articles of association, And apply to the registration authority for the registration of changes, the filing of articles of association or the filing of directors, etc.
