
It is confirmed that Richemont SA agreed to merge its Net-a-Porter online fashion retail unit with Italian rival Yoox SpA.
Richemont will own 50 percent of the combined company, to be called Yoox Net-a-Porter Group, the Geneva-based owner of the Cartier and Chloe brands said in a statement Tuesday. It will be traded on the Italian stock exchange and Yoox’s founder, Federico Marchetti, will be chief executive officer.
Yoox Net-a-Porter plans a capital increase of as much as 200 million euros ($216 million) after the transaction to raise funds for expansion and gain new shareholders, said Richemont, which will participate.
Richemont said it expects a one-time gain of about 317 million euros from the transaction.

历峰集团并不会就此退出奢侈品电商业务,反而会持有Yoox Net-a-Porter Group 50%股权。交易完成后,Yoox Net-a-Porter Group 将进行增发新股以筹集最多2亿欧元,用作支持未来发展以及引进新的战略投资者。
历峰集团预计该交易将使其获得3.17亿欧元的一次性非现金收益。
