What is the most impressive case among the Chinese companies you have served? Could you share some of the key challenges and solutions?
We have assisted a Chinese company, specialized in the bicycle sector, in the acquisition of 100% of the share capital of a Spanish company renowned for its expertise in the manufacturing of high-end bicycle components. Our involvement covered the full transaction process, including legal and strategic support during the due diligence phase, negotiation of the share purchase agreement, and coordination of all corporate and regulatory requirements necessary to successfully complete the deal.
This transaction strengthened the investor’s presence in the European market and enabled the integration of advanced Spanish manufacturing capabilities into its global supply chain, creating significant opportunities for technological development, product diversification and international expansion.
One of the most significant challenges of this transaction was ensuring constant and effective communication with the directors of the Chinese client so that they could clearly understand the legal and regulatory framework applicable under Spanish law. It required continuous explanations, follow-up, and clarification of key concepts to ensure full alignment throughout the process.
Another major challenge involved coordinating with the client to plan the transaction timeline sufficiently in advance to allow for the mandatory Chinese governmental authorization required for the outbound transfer of funds. This planning was essential to avoid delays and to ensure that all regulatory steps in China were completed within the expected timeframe.
Additionally, we worked closely with the client to ensure the proper preparation of various corporate documents that needed to be notarized and apostilled in China. This step required particular attention, as the criteria and formal requirements applied by Chinese notaries differ from those applicable in Spain. Clear guidance and careful coordination were necessary to guarantee that the documentation met the standards required for its recognition and use under Spanish law.
Thanks to this comprehensive support and cross-border coordination, the transaction was completed successfully, strengthening the investor’s presence in the European market and enabling the integration of advanced Spanish manufacturing capabilities into its global supply chain.
Based on your experience, what are the most underestimated risks Chinese companies face when expanding overseas? What two key pieces of advice would you give them?
1. Legal and cultural differences in business management between China and the target country
Risk: Business management practices in China, both legally and culturally, may differ significantly from those in the investment destination country. Insufficient understanding of the local legal framework and business culture can lead to difficulties in managing the local team and potential regulatory non-compliance.
Recommendations to mitigate this risk:
1) Engage local professional advisors (legal, labor and tax consultants) from the outset to ensure an accurate interpretation of applicable regulations.
2) Provide cross-cultural training for Chinese executives before they assume managerial roles abroad, helping them understand local management practices.
3) Appoint a trusted local liaison or manager to act as a bridge between the Chinese parent company and the local team, helping resolve operational and cultural misunderstandings.
4) Implement a compliance programme tailored to the destination country, aligned with local regulatory requirements and reviewed regularly.
5) Conduct periodic internal audits, especially during the first year after the investment, to identify potential risks or deviations at an early stage.
2. Chinese governmental authorization for outbound fund transfers
Risk: Chinese regulations governing the authorization of outbound fund transfers may be interpreted and applied differently depending on the Chinese province. If the process is not initiated in advance, investors may risk missing investment opportunities due to administrative processing times.
Recommendations to mitigate this risk:
1) Plan the financial timeline several months ahead, ensuring that the authorization process is launched as early as possible.
2) Coordinate early with the relevant local authorities (such as SAFE or the corresponding provincial offices) to understand the specific criteria applied in the client’s province.
3) Prepare and collect all required documentation for the outbound transfer application, ensuring it is complete, up-to-date, and properly legalized.
4) Include flexible timing clauses in preliminary agreements (LOI, MoU, SPA) to allow deadline extensions in case the Chinese administrative process takes longer than expected.
5) Seek a preliminary assessment from advisors specialized in outbound investment, to anticipate potential obstacles and determine the most effective application strategy.
6) Maintain constant communication between the Chinese team and advisors in the destination country to align contractual milestones with the timing of the required authorization.
What are the most common misunderstandings when Chinese companies communicate with local partners or governments? Which ‘Chinese-style thinking’ tendencies tend to create misunderstandings?
Chinese companies often face several types of misunderstandings when interacting with foreign partners or public authorities. The most common include:
1. Different expectations regarding communication style: in many foreign countries, communication tends to be direct, explicit, and detailed. Chinese companies, however, often use more implicit, high-context communication. As a result, foreign partners may perceive the Chinese side as vague, non-committal, or avoiding clarity, while Chinese teams may feel that the local partners are overly blunt or demanding.
2. Misalignment on decision-making processes: local partners may expect quicker decisions and clear responsibilities. However, many Chinese companies rely on collective or hierarchical internal decision-making, which can extend timelines. This can create frustration and misinterpretation of delays as lack of interest or inefficiency.
3. Local regulatory interpretation: Chinese companies may assume that regulations can be interpreted flexibly or that ambiguous points can be resolved through relationship-building. Many foreign governments, however, apply rules more rigidly and require strict adherence, creating misunderstandings about feasibility or timing.
Certain cultural or business habits, very effective within the Chinese context, may unintentionally cause confusion abroad. Among the most frequent are:
1. Flexibility over formality: in China, relationships often allow for negotiating around formal procedures. Abroad, however, formal rules tend to be strict, and any deviation might be seen as unprofessional or non-compliant.
2. Gradual and adaptive decision-making: Chinese companies often make decisions progressively, adjusting as the relationship or situation evolves. In many Western cultures, stakeholders expect a clear decision-making path and firm commitments at each stage.
3. Preference for harmony over confrontation: Chinese style thinking values avoiding open disagreement. This may result in partners believing the Chinese side agrees, when in fact they may simply be avoiding conflict or waiting for internal consensus.
4. Reliance on mutual trust and relationships: while trust-building is central in Chinese business culture, foreign partners tend to rely more on written agreements, due diligence, and formal processes. Overemphasis on personal rapport may create misunderstanding about contractual expectations.
What cultural or business practice differences do you find are most frequently overlooked when helping Chinese companies adapt to the local market? And how can Chinese companies adjust and prepare in advance?
When assisting Chinese companies entering foreign markets, several cultural and business practice differences tend to be overlooked. These gaps often become sources of friction or operational difficulty:
1. The level of formality and structure in compliance and documentation: European countries require strict administrative procedures, detailed contracts, and rigid compliance systems. Chinese companies sometimes underestimate how inflexible these systems can be, assuming that adjustments can be made later or that informal understanding is enough.
2. Communication style differences: European markets value directness, precision, and prompt clarification. Chinese communication tends to be more indirect and context-dependent, which can be misunderstood as evasion or lack of clarity.
3. Different expectations in project planning and timelines: European partners expect clear, realistic, and committed timelines. Chinese companies may adopt more flexible or evolving timelines, which can appear disorganized or unreliable in a Western context.
4. Local HR practices and labor laws: Chinese companies often overlook the rigidity of local labor systems, including strong employee protections, union involvement, and strict termination procedures. This can lead to unintentional non-compliance or internal conflicts.
5. Local business etiquette and relationship building: while the relationships play an essential role in China, many European countries rely more on institutional trust, written agreements, and documented procedures. Overemphasis on personal relationships may be seen as unprofessional or insufficient.
How can Chinese companies adjust and prepare in advance? There are practical steps Chinese companies can take to better adapt and avoid misunderstandings:
1. Conduct cultural and regulatory training before entering the market: Provide leadership teams with cross-cultural training and briefings on local legal, business, and communication norms. This lowers the risk of early mistakes and improves cooperation with local partners.
2. Engage experienced local advisors early: Hire local lawyers, tax advisors, HR specialists, and consultants from the start. They can explain local expectations, help avoid compliance issues and ensure that documents and procedures meet local standards.
3. Adjust communication style for the local context: encourage teams to adopt a more direct, explicit, and timely communication approach when interacting with foreign partners, to reduce ambiguity and misunderstandings.
4. Learn and respect local labor and HR practices: Understand employee rights, contract obligations, workplace safety requirements, and dismissal procedures. Establish an HR plan consistent with local law to avoid disputes.
5. Balance relationship-building with formal processes: Maintain good personal relationships, but ensure they are supported by solid contracts, compliance systems, and procedural discipline, as required by local business cultures.
What are the ‘unspoken rules’ (e.g., clause priority, decision making process) in a country’s contract negotiations?
In European contract negotiations, written agreements always take precedence over verbal promises, and nothing is considered binding unless it is documented. Parties expect clear, precise, and detailed contracts, with each clause having its own legal force unless explicit priority is stated. Ambiguities are generally interpreted strictly, making precision and clarity essentialthroughout the negotiation process.
Decision-making processes are formal and structured, with clear authority and responsibilities defined for each representative. Changes in position or direction require explanation, and consistent communication is expected. Deadlines, timelines, and milestones are treated as serious commitments, with extensions or adjustments only accepted if formally agreed upon.
Transparency and full disclosure are critical, as withholding relevant information can undermine trust or even invalidate agreements. Written emails and annexes are often treated as binding evidence and part of the contractual obligations. Negotiations are expected to follow a linear and orderly progression, avoiding unnecessary reopening of settled points, which could be seen as disruptive.
Finally, compliance with legal requirements cannot be compromised. European partners assume adherence to laws, regulations, and industry standards is non-negotiable. Practices such as labor law, environmental regulations, safety standards, and data protection must be fully respected, and personal relationships or informal agreements cannot substitute for formal, binding contractual terms.
