Q1 / 服务过的中国企业案例中,哪一件最令您印象深刻?关键挑战与解法是什么?

What is the most impressive case among the Chinese companies you have served? Could you share some of the key challenges and solutions?


我们曾协助一家计划赴土建设制造基地的中国企业,其项目因环保组织提起行政诉讼而被法院列为“受影响方”——若贸然介入诉讼将企业拖入公共环境争议,风险极大;

We advised a Chinese manufacturer on its Turkish plant. An environmental NGO filed an administrative lawsuit and the court listed our client as an “affected party”. Joining the litigation would have dragged the company into a public environmental row. 


我们最终建议“密切监控但暂不正式应诉”,同步准备升级策略,由行政机关自行有效辩护,诉讼无涉客户即告化解,项目按期推进且零声誉损伤。

We recommended “watch closely but stay out”, while preparing an upgrade strategy. The administrative body defended itself effectively, the case closed without touching the client, the project stayed on schedule and zero reputational damage was incurred.

Based on your experience, what are the most underestimated risks Chinese companies face when expanding overseas? What three key pieces of advice would you give them?


① 监管合规复杂度:许多企业误以为“中国标准够用”,却忽视土耳其在劳动法、数据保护、竞争法与ESG方面更严苛且执法高频;

① Regulatory complexity: many think “China standards are enough” yet overlook Turkey’s tougher and frequently enforced labour, data-protection, competition and ESG rules.


② 文化与治理落差:高度集中化的总部决策令本地员工、监管与伙伴因“等批复”而错失动态商机;

② Culture & governance gap: highly centralised HQ decision-making makes local staff, regulators and partners miss dynamic opportunities while “waiting for approval”.


③ 声誉及利益相关者预期:小事可在社媒瞬间放大,而土耳其法院对“抹黑”叫停难度高,企业须以沟通与利益相关方参与对冲而非单靠诉讼;

③ Reputation & stakeholder expectations: small issues go viral on social media and Turkish courts seldom grant “stop-defamation” injunctions; communication and stakeholder engagement must hedge the risk, not litigation alone.


因此建议:

① 早期即对标当地环保、数据、劳工、竞争法最佳实践而非最低线;

① Benchmark against local best practice on environment, data, labour and competition law from day one, not the legal minimum.


② 授权经验丰富的本地团队并保留总部复核机制,确保效率与一致性兼得;

② Empower an experienced local team but keep HQ sign-off slots to secure both speed and consistency.


③ 与深谙行情的本地经理、顾问结成联盟,快速识别并化解潜在危机。

③ Build alliances with seasoned local managers and advisers to detect and defuse crises early.




Q3 / 中土双方在沟通风格与决策机制上最常出现哪些误解?所谓“中国式思维”哪些倾向易触发摩擦?

Where do Chinese and Turkish sides most often misread each other’s communication style and decision mechanism? Which “Chinese-mindset” habits tend to trigger friction?


一是中方惯用“委婉回避冲突”的间接沟通,却被土方视为“信息不透明”

① Chinese indirect, conflict-shy communication is read by Turks as “information opacity”.


二是事无巨细皆等总部拍板的自上而下模式,使本就动态的土监管流程“审批时差”而受挫;

② Top-down, HQ-must-sign-everything mode makes the already dynamic Turkish regulatory process stall because of “approval lag”.


三是中方偏重“短平快”解决眼前问题,而土方更期待看到对长期影响的系统考量与持续承诺,唯有展示长线布局方能换取信任。

③ Chinese preference for “short, flat, fast” fixes clashes with Turkish expectation of systematic, long-term impact analysis and sustained commitment; only a visible long-game plan earns trust.




Q4 / 哪些文化或商业差异最常被中企忽视?应如何提前调适?

Which cultural or business differences are most frequently ignored, and how should companies pre-adjust?


最常被忽视的是速度+灵活性”预期差——土耳其监管、伙伴、客户皆求“秒回”,而中方金字塔式决策易拖长周期;

The “speed + flexibility” expectation gap—Turkish regulators, partners and customers demand “reply in seconds” while Chinese pyramid decisions lengthen the cycle. 


其次,低估个人关系与本地代表人物”对长期信任的价值;

Second, underestimating the value of personal ties and a recognised local figurehead for long-term trust.


再者,忽视“本地含量”隐性期待——政府与公众虽合同未写明,却默认外资应通过雇佣、采购、技术转移回馈经济;

Third, ignoring the implicit “local content” hope—government and public assume foreigners will give back via jobs, procurement and tech transfer even if the contract is silent. 


因此中企应:

① 赋予本地管理团队更清晰决策权并常驻中方人员,确保总部-前线信息无缝;

① Give the local management clearer authority and station Chinese staff onshore to keep HQ-front-line information seamless.


② 前置投入HR、文化及合规培训,用透明、长期、可靠的姿态赢得可持续成功。

② Front-load investment in HR, culture and compliance training; win sustainable success through transparency, longevity and reliability.




Q5 / 中方总部如何在确保合规的同时保持对子公司的高效管控?有无高效工具

How can the Chinese HQ keep efficient control over the subsidiary while staying compliant? Any proven tools?


总部惯用“自上而下+严格报告+年度审计”模式,但可叠加四项工具提升效能:

HQs usually rely on “top-down + strict reporting + annual audit”, but four add-ons boost efficiency:


① 四眼原则:关键签字、重大承诺须本地双签,其中一人直报总部;

① Four-eyes rule—key signatures and major commitments need two local signatures, one of them reporting directly to HQ.


② 外部审计:即使法无强制,也聘独立审计机构年度全面审计,及早发现风险并固化会计与法律证据;

② External audit—even if not mandatory, hire an independent auditor for a full annual sweep to spot risks and lock in accounting & legal evidence.


③ 内部审计:总部经验人员定期飞地内审,配套有效举报机制防舞弊;

③ Internal audit—fly in HQ-trained auditors periodically, coupled with an effective whistle-blower channel to prevent fraud.


④ 数字化报表+在地监测:实时数据与本地化监控并用,既保总部掌控又避免运营窒息。

④ Digital dashboards + on-the-ground monitoring—real-time data plus local oversight keeps HQ in command without suffocating operations.

Looking back, which crisis-resolution for a Chinese client gives you the greatest sense of achievement?


虽非正面诉讼代理,但我曾以独立法律意见形式,就土耳其国际私法问题为中国企业出具关键报告,帮助其在两国公司冲突中自证立场最终获胜——以“局外”专业知识促成公平且务实的解决方案,让我深切体会到作为土耳其律师的价值与成就。

Though not counsel of record, I once provided a stand-alone legal opinion on Turkish private-international-law issues that helped a Chinese company prove its position in a bilateral shareholder clash and eventually win the case. Contributing fair and workable solutions “from the outside” made me feel the value—and the reward—of being a Turkish lawyer.
