一、出台背景及意义

Background and Significance

为深入贯彻落实习近平总书记“四个走在全国前列”重要指示精神，加快推进广州“风险投资之都”建设，促进广州股权投资市场对外开放，推进粤港澳大湾区金融市场协同发展，吸引更多外商投资股权投资类企业在穗集聚发展，营造广州市开展合格境外有限合伙人（QFLP）试点工作共建共治共享管理格局, 广州市地方金融监督管理局制定了《广州市促进外商投资股权投资类企业集聚发展工作指引》。

二、分析解读

Analysis and Interpretation

外商投资股权投资类企业包括外商投资股权（创业）投资管理企业、外商投资股权（创业）投资企业。

Foreign-invested equity investment enterprises include Foreign-invested equity (entrepreneurial) investment management enterprises and Foreign-invested equity (entrepreneurial) investment enterprises.

   2.企业出资无要求/Enterprise Capital Contribution is Not Requied

外商投资股权投资类企业注册资本或认缴出资币种可为人民币或外币，不设最低注册资本或认缴出资额限制，在首次出资比例、货币出资比例、出资期限等方面无限制。

The registered capital or subscribed capital of foreign-invested equity investment enterprises may be RMB or foreign currency., and there is no limit to registered capital or subscribed capital contribution, as well as the initial investment ratio, currency contribution ratio, and capital contribution period.

1.公司制的外商投资股权投资类企业需要完成外商投资企业备案

2.外商投资股权（创业）投资管理企业在中国证券投资基金业协会完成私募基金管理人登记

Foreign-invested equity (entrepreneurial) investment management enterprise shall complete the private equity fund management registration in China Securities Investment Fund Association.

3.结汇、支付可直接在银行办理，无需备案

Settlement and payment can be handled directly at the bank without filing.

1.公司制外商投资创业投资企业采取股权投资初创科技型企业可按照投资额的70%在股权持有满2年的当年抵扣应纳税所得额

The amount of taxable income of a corporation-type foreign-funded venture capital enterprise that adopts equity investment in a technology-based start-up enterprise can be deducted according to 70% of the investment amount in the current year when the equity has been held for 2 years.

2.合伙制外商投资股权（创业）投资企业，按照“先分后税”原则对合伙人征收所得税

In the case of a foreign-invested equity (entrepreneurial) investment enterprise in the form of partnership, the income tax shall be levied on the partners in accordance with the principle of "distribution first and tax later".

1.1500万元人民币的管理能力奖励/15 million yuan of Management Ability Reward

对外商投资股权（创业）投资管理企业，给予最高1500万元人民币的管理能力奖励。对于投资广州科技中小企业的外商投资股权（创业）投资类企业，按照实际投资额给予奖励。

For foreign-invested equity (entrepreneurship) investment management enterprises, the highest management ability award shall be RMB 15 million yuan. Foreign invested equity (entrepreneurship) investment enterprises that invest in small and medium-sized enterprises of science and technology in Guangzhou shall be rewarded according to their actual investment amount.

2.广州人才待遇/Guangzhou Talent Welfare

支持外商投资股权投资类企业按相关规定申报广州市高层次金融人才、广州市人才绿卡，享受人才落户、购车购房、子女入学等优惠待遇，吸引股权投资领域人才在穗集聚发展。

We will support foreign-invested equity investment enterprises to apply for Guangzhou high-level financial talents and Guangzhou green card for talents in accordance with relevant regulations, and enjoy preferential treatment for talents to settle down in Guangzhou, purchase cars and houses, and enroll their children in Guangzhou, so as to attract talents in the field of equity investment to gather and develop in Guangzhou.
